These Terms of Service (“Terms”) govern your access to and use of the FiloGuard platform (“Service”), operated by MySpace MyVibe LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Nature of the Service

FiloGuard is a software tool that assists users in organizing compliance data, tracking filing deadlines, and generating pre-filled IRS forms for foreign-owned US LLCs. The Service provides mechanical assistance by placing data you provide into the appropriate fields on official government forms.

FiloGuard is NOT a law firm, CPA firm, accounting firm, or tax preparation service. The Company does not provide legal advice, tax advice, accounting advice, or any form of professional counsel. No attorney-client relationship, CPA-client relationship, or fiduciary duty is created by your use of the Service.

You should consult a licensed attorney, certified public accountant, or enrolled agent for advice specific to your situation. The Company does not review, verify, or audit the accuracy of information you enter into the Service.

2. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

3. Account Registration and Security

To use the Service, you must create an account by providing a valid email address and creating a password. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials and not share them with any third party
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscriptions and Payments

The Service offers both free and paid subscription tiers. By selecting a paid plan, you agree to the following:

Billing: You authorize us to charge your designated payment method on a recurring basis (monthly or annually, depending on your selected plan) until you cancel
Payment processing: All payments are processed securely through Stripe, Inc. We do not store your full credit card number on our servers
Price changes:We may change subscription prices with at least 30 days' advance notice. Price changes take effect at the start of your next billing cycle
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods
Failed payments: If a payment fails, we may suspend access to paid features until the payment issue is resolved

5. User Responsibilities

You are solely responsible for:

The accuracy, completeness, and legality of all data you enter into the Service
Reviewing all generated forms, documents, and outputs for accuracy before filing with any government agency
Timely filing of all required forms and reports with the IRS, state agencies, and other governmental bodies
Determining whether a transaction is reportable under applicable tax laws and regulations
Seeking qualified professional advice for your specific tax and legal situation

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
Reverse engineer, decompile, or disassemble any portion of the Service
Use the Service to transmit malware, viruses, or other harmful code
Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
Resell, sublicense, or redistribute the Service or any output generated by the Service without our prior written consent
Use the Service to provide tax preparation, legal, or accounting services to third parties without appropriate professional licensure

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of MySpace MyVibe LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free
The information, forms, or calculations produced by the Service will be accurate, complete, or current
The Service will meet your specific requirements or expectations
Any errors in the Service will be corrected within any particular timeframe

Tax laws, filing requirements, and government form specifications change frequently. While we endeavor to keep the Service current, we make no guarantee that the Service reflects the most recent legal or regulatory changes at any given time.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYSPACE MYVIBE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

This limitation applies to any penalties, fines, interest, or other consequences imposed by the IRS, state tax authorities, or any other governmental body as a result of your reliance on the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless MySpace MyVibe LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you submit to the Service.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and entity data. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

Your right to use the Service ceases immediately
You may request an export of your data within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policies.
Sections 7 through 15 of these Terms survive termination

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Wyoming.

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and MySpace MyVibe LLC regarding the Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, or internet service disruptions.
