Wyoming Annual Report Filing Guide
Wyoming is one of the most popular states for LLC formation, especially for foreign owners. One of your key ongoing obligations is filing an annual report with the Wyoming Secretary of State. Here is everything you need to know.
Annual Report Requirements
Every LLC registered in Wyoming must file an annual report to maintain its good standing. The report confirms or updates basic information about your entity: its name, principal office address, registered agent, and the names of members or managers.
Wyoming does not impose a state income tax, franchise tax, or personal income tax. The annual report fee is the primary recurring cost of maintaining a Wyoming LLC.
Filing Fee
The annual report filing fee is $60 for LLCs, or $60 per $250,000 of assets located in Wyoming, whichever is greater. For most foreign-owned LLCs that do not hold significant assets within Wyoming, the fee is the $60 minimum.
Deadline
Your annual report is due on the first day of your anniversary month — the month in which your LLC was originally formed or registered in Wyoming. For example, if your LLC was formed on June 15, your annual report is due by June 1 of each subsequent year.
Wyoming does not send reminder notices. It is your responsibility to track this deadline. Late filings incur a $50 late fee in addition to the $60 filing fee.

- Loss of good standing:Your LLC will lose its “Active” status with the Secretary of State
- Administrative dissolution: If the report remains unfiled, Wyoming may administratively dissolve your LLC, which eliminates its liability protection and legal standing

How to File
Wyoming annual reports are filed online through the Wyoming Secretary of State's business portal:
- Visit wyobiz.wyo.gov
- Search for your LLC by name or filing number
- Select “File Annual Report” from your entity's page
- Review and update the information on file (address, registered agent, members/managers)
- Pay the $60 fee by credit card
- Download and save the confirmation for your records
The entire process typically takes 5–10 minutes if your information has not changed.
Tips for Foreign-Owned LLCs
- Use a reliable registered agent. Your registered agent is the point of contact for official state correspondence. Make sure their service is renewed and active.
- File early. You can file your annual report as soon as January 1 of the year it is due. Filing early avoids last-minute issues.
- Calendar the deadline. Wyoming does not send reminders. Set a recurring calendar event at least 30 days before your anniversary month.
